Following the announcement made on April 29, 2026 (see AVIONEWS), the Board of Directors of Avio SpA, which met yesterday, approved the powers’ attribution to the Chairman, Roberto Italia, to be exercised in coordination with the Chief Executive Officer, related to (i) the management of institutional relationship aimed at the development and consolidation of the Company’s businesses in the space and defense sector in international markets, as well as (ii) the management and promotion of operational strategies for business development in international markets (with particular regard, given its strategic importance, to the United States of America market).

It was also decided that the Chairman and the Chief Executive Officer will jointly participate in the implementation of the management and operational strategies in international markets (with particular regard, given its strategic importance, to the United States of America market).

Accordingly, at the same meeting, the Board of Directors appointed the independent Director Raffaele Cappiello as Lead Independent Director, pursuant to Recommendation No. 13 of the Corporate Governance Code. The Lead Independent Director will remain in office until the expiry of the current Board of Directors’ term of office (i.e., until the Shareholders’ Meeting convened to approve the financial statements for the financial year ending 31 December 2028).
