Avio: new Board and Management appointments
During the meeting of yesterday
The Board of Directors of Avio SpA, which gathered yesterday, having obtained the opinion of the Nomination and Remuneration Committee and with the approval of the Board of Statutory Auditors, resolved to appoint by co-optation, pursuant to Article 2396-undecies of the Italian Civil Code and Article 11.17, paragraph (i), of the Company’s Bylaws, Giulia De Martino as a non-executive and independent Director of the Company.
The appointment took place following the resignation tendered on 29 July 2026 by Elena Pisonero, non-executive and independent Director and Chairman of the Company’s Nomination and Remuneration Committee, effective as of the date of the Shareholders’ Meeting of 8 September 2026, as communicated to the market on 29 July 2026.
Having acknowledged the statements made and the documentation presented by the new Director, the Board of Directors, during the same meeting, ascertained that Giulia De Martino met the requirements prescribed by the applicable legislation, the Company’s Articles of Association and the Corporate Governance Code, including possession of the independence requirements set forth in Legislative Decree No. 58/1998, the Corporate Governance Code and the Company’s Articles of Association. Finally, the Board of Directors has verified compliance with the limits to the accumulation of offices established by the Company.
Giulia De Martino has been also appointed as a member of the Nomination and Remuneration Committee. She will remain in office until the next Shareholders’ Meeting of the Company. Based on the information available to the Company, as of yesterday’s date she does not hold shares in the Company.
The Board of Directors has also appointed Steven Wood as Chairman of the Nomination and Remuneration Committee, replacing Elena Pisonero.
Furthermore, at yesterday’s meeting and subject to the positive opinion of the Nomination and Remuneration Committee, the Board of Directors of Avio also resolved, pursuant to Article 12.2 of the Company’s Bylaws, to appoint as Deputy General Manager Corporate, effective as of 5 October 2026, Roberto Carassai, current Chief Financial Officer as well as Executive Officer in charge of preparing the Company’s financial reports pursuant to Article 154-bis of Legislative Decree No. 58/1998, to whom the Investor Relations function also hierarchically reports, thus keeping these roles.
In addition the Deputy General Manager Corporate is also assigned responsibility for the department “Legal, Compliance & Corporate Affairs” as well as of the functions “Information & Communication Technology”, “Sales & Procurement Governance” and “General Services”, without prejudice to the functional reporting lines to the Company’s control functions. At the same time, the Board of Directors verified that the powers and resources granted to the Executive Officer in charge of preparing the Company’s financial reports are adequate, pursuant to Article 154-bis, paragraph 4, of Legislative Decree No. 58/1998. Carassai is already one of the Company’s Senior Executives and, as of yesterday’s date, does not hold shares in the Company.
Finally, it is noted that the Company appointed Claudio Milana as Chief Programs Officer and Senior Executive, succeeding Marco Biagioni, starting from 16 October 2026. On the date hereof, Milana holds no. 2,294 shares in the Company. Milana has approximately twenty-five years of experience within the Group.
Having joined ELV (now Spacelab) in 2002, he has taken on increasing responsibilities in propulsion engineering, launcher development and the management of strategic programmes, holding key roles in the Vega, Vega-C, Vega-E and Space Rider programmes. He led the task force for the Vega-C Return to Flight and, more recently, the one for the STS cryogenic launch system In Flight Demonstrator, achieving significant results in the management of particularly complex programmes and contributing to the achievement of the Company’s industrial objectives.
