Agreement for the joint acquisition of Milione, SAVE company (Venice Airport, in Italy), signed

Closing of the operation is expected between late 2025 and early 2026

Ardian, a global company active in private market investments, and Finint Infrastrutture, created on the distinctive asset-management expertise of Finanziaria Internazionale Holding to drive the development of the country’s infrastructure sector, announce that an agreement for the joint acquisition of Milione SpA has been signed today. This is the parent company of SAVE SpA, which mainly operates airport management, including Venice "Marco Polo", one of Italy’s three intercontinental airports and a strategically important hub at national and international level.

The completion of the transaction follows the exclusive negotiation agreement signed by Ardian and Finint Infrastrutture with the current shareholders of Milione SpA last May, and the subsequent due diligence activities.

Finint Infrastrutture, together with Sviluppo 87 and Ardian, have reached an agreement to acquire, on an equal basis, approximately 100% of Milione SpA’s share capital, while simultaneously confirming the current management at the helm of the company. Closing is expected between late 2025 and early 2026. The transaction provides for the exit of the current shareholders, the funds managed by Dws Infrastrutture and Infravia Capital Partners, while shareholder Sviluppo 87, controlled by Finanziaria Internazionale Holding, remains a shareholder of Milione SpA.

The transaction marks the start of the strategic partnership between Ardian and Finint Infrastrutture, aimed at supporting the growth of SAVE and the Northeast airport hub, as well as creating a strategic operator to pursue new acquisitions with a view to external growth.

The SAVE Group includes the airports of Venice, Verona, Treviso, Brescia and a stake in Charleroi in Belgium. During 2024 the airports collectively recorded around 29 million passengers, broken down as follows: over 18.3 million passengers transited through the Group’s three Veneto airports, an increase of 3.1% compared with the previous year; Charleroi recorded 10.5 million passengers in the same year, up 12%. The first half of 2025 saw a further increase of 5.2% for the Veneto airports, with Venice in its central role as Italy’s third intercontinental airport; Charleroi grew by 7%.
